Terms of Use

These Terms of Use ("Terms") govern access to and use of the MurphyLearn website, mobile-accessible platform, and related services (together, the "Platform"), operated by SP Leaders (Pvt) Ltd of 62/13 Udumulla Road, Battaramulla, a company incorporated under the Companies Act No. 7 of 2007 of Sri Lanka, trading under the brand and website "MurphyLearn" ("MurphyLearn", "we", "us").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who Can Use MurphyLearn

MurphyLearn is used by four types of account holders: Students, Parents/Guardians, Tutors/Teachers, and Schools/Institutions.

1.1 Students under 18

MurphyLearn is designed with school-age users in mind, and students of any age may create a free Student account. If you are under 18:

  • You must have your parent's or legal guardian's permission to use the Platform, including its subscribed features. We do not separately obtain or verify that permission during registration.
  • If a parent or guardian did not authorise a payment made on a student's behalf, they should contact us immediately at learn@murphylearn.com for resolution under Section 3.5.
  • A parent or guardian may request access to, correction of, or deletion of their child's account and data at any time by contacting us (see Section 14), and may exercise any other rights available to the student under applicable data protection law on the student's behalf.

1.2 Adults

Adult candidates (e.g., those preparing for SLAS, banking, or Law College entrance examinations) may register and subscribe directly.

1.3 Parents/Guardians

A Parent account may optionally be linked to one or more Student accounts to view progress data. Parents are responsible for the accuracy of information they provide and for any payments made through a payment method they own or control.

1.4 Tutors, Teachers & Schools

Tutor and School accounts are B2B accounts intended for individuals or institutions managing multiple students. By creating such an account, you confirm you are authorised to manage the student data you upload or link (e.g., you have informed students/parents that their progress data will be visible to you).

1.5 Accuracy of information

You agree to provide accurate registration information and to keep it up to date.

2. Accounts & Security

  • You must take reasonable steps to protect your login credentials and keep them confidential. You are responsible for activity you authorise through your account. This does not make you responsible for losses caused by MurphyLearn’s failure to meet its own security or legal obligations.
  • Notify us promptly at learn@murphylearn.com if you suspect unauthorised use of your account, and reasonably cooperate with steps to secure it.
  • Each person must use their own account and keep their login credentials private. Parent–student, tutor–student and school–teacher–student links connect separate authenticated accounts through the Platform's authorised linking features; they do not permit password sharing.

3. Subscriptions, Fees & Payment

3.1 Plans

MurphyLearn offers the Discover (free), Prepare and Achieve plans for Students, as well as Tutor/Institute and School plans, as described on the Platform at the time of purchase. Features and pricing may change; we will give notice of material changes to paid plans before they take effect for existing subscribers. Price changes do not alter a period already paid for. We will tell existing subscribers the new renewal price and its effective date before applying a price change, so they can cancel renewal before it takes effect.

New accounts receive a 14-day free trial of the Achieve plan from signup. Members who joined before paid subscriptions launch receive a further 14 days of free Achieve access from the announced payments launch date. After the trial, you retain access to the Discover plan unless you choose to purchase a paid plan.

Free access and trial expiry do not authorise payment or automatically enrol you in a paid subscription. A paid subscription begins only after you expressly purchase one.

3.2 Payment processing

Payments are processed through our third-party payment gateway (currently PayHere). By purchasing a paid subscription, you authorise recurring charges for the plan you select until you cancel. We do not store your full card details; these are handled by the payment processor under its own terms.

For automatic renewals, MurphyLearn initiates charges through the payment processor using a saved payment token. This token allows the processor to charge your card without you entering its details again; it is not your full card number.

3.3 Taxes

All displayed subscription prices include applicable taxes.

3.4 Renewals & cancellation

You can cancel automatic renewal at any time through your account settings. Once cancelled, we will not make further renewal charges. You will retain access until the end of the period you have already paid for. Cancellation does not entitle you to a refund, except as provided in Section 3.5 or required by law.

If a renewal payment fails, we may retry the payment. Continued payment failure may result in the subscription expiring and paid access ending.

Cancellation or expiry does not automatically delete the saved payment token. If you choose to reactivate your subscription, you authorise a payment for a new billing period at the price shown before confirmation. We may use the saved token for that payment without requiring you to enter your card details again. Cancellation alone does not authorise further renewal charges.

3.5 Refunds

Fees are non-refundable for ordinary cancellation or a change of mind once a billing period has started. This does not affect:

  • Pro-rata refunds for unused subscription periods if MurphyLearn discontinues the Platform (see Section 13.4).
  • Refunds for discontinuation or material reductions in paid services or your rights under Section 13.3.
  • Refunds of duplicate charges or other confirmed billing errors, including errors involving the payment processor.
  • Refunds for payments established to have been unauthorised following investigation.
  • Refunds or other remedies required by applicable law, including where a paid service is not activated, materially fails to match what was purchased, or is wrongfully suspended or terminated.

To request a refund or dispute a charge, contact learn@murphylearn.com with the payment date and amount, the account email and transaction reference if available, and a brief explanation. We may request further information reasonably needed to verify and investigate the request. Do not send full card details, card security codes or passwords.

We will investigate the request, including with the payment processor where necessary, and communicate the outcome and reasons by email. A disputed payment does not automatically establish an entitlement to a refund. Approved refunds will normally be returned to the original payment method; if that is not possible, we will agree an appropriate alternative with the payer, subject to applicable law and payment-provider requirements.

Nothing in this section limits your statutory rights or your right to raise a dispute with your bank or card provider or complain to a competent authority. You do not need to complete our support process before exercising those rights.

3.6 Tutor/School plans

Volume pricing, invoicing terms, and minimum notice periods for Tutor and School plans are set out in the applicable order form or institutional agreement, which forms part of these Terms for that account.

3.7 Authorisation of payment

By purchasing a subscription, you represent that you are authorised to use the payment method and, where the subscription is for a student under 18, that you are the student's parent or legal guardian or are acting with their permission.

If you are purchasing a subscription as the parent or legal guardian of a student under 18, completing the purchase also confirms your permission for the student to use the Platform and your acceptance of these Terms in relation to that purchase.

3.8 Plan changes and subscription credit

An upgrade within the same billing interval takes effect immediately. We charge the prorated difference for the remaining paid period after applying available subscription credit; your renewal date stays the same. A downgrade within the same billing interval takes effect at your next renewal, with your existing paid access continuing until then.

Switching between monthly and annual billing takes effect immediately and starts a new billing period. We credit the unused prepaid value of your current period against the new plan's price and charge any remaining amount shown before confirmation. Any excess remains as subscription credit for future subscription payments. Free access does not create monetary credit.

Subscription credit is applied before charging your payment method and is retained if you cancel or your subscription expires. It does not itself restart automatic renewal and is not automatically refunded in cash, subject to Section 3.5 and applicable law.

4. The Platform & Its Features

4.1 Practice content

MurphyLearn provides original practice exams, model questions, and model answers. We do not reproduce actual past examination papers from the Department of Examinations, Cambridge, Edexcel, or other examining bodies unless expressly licensed to do so.

4.2 AI-assisted learning & marking

  • Depending on your plan and the features available, the Platform provides automated marking, AI-assisted assessment and feedback, explanations, tutor chat, voice-based coaching and Parent Guide. Some answers are marked using predefined rules rather than AI. Human review is included only where expressly stated in the relevant feature or offer.

  • AI-generated marks, answers, explanations and recommendations may be inaccurate or incomplete. They are educational assistance, not official examination results or a guarantee of how an examining body would mark an answer. Use appropriate human judgment and check important information against reliable sources.

  • Parent Guide and other AI features may offer suggestions about study routines, motivation and exam-related stress. They do not provide medical advice, diagnosis, treatment or emergency support, and are not a substitute for appropriate professional help.

  • Applicable message, voice and upload limits, supported subjects and languages, and material feature restrictions are described on the Platform before purchase.

  • You may use generated outputs for your personal study or, under a Tutor or School plan, for teaching your own students, subject to Section 6 and applicable third-party rights. We do not guarantee that outputs are unique, qualify for copyright protection or are free of third-party rights.

  • You can report an incorrect mark, misleading response or harmful output to learn@murphylearn.com. Include enough information to identify the relevant interaction, but do not send passwords or full payment-card details.

  • You retain ownership of the content of your uploaded answer scripts, but you grant MurphyLearn a licence to process, store, and analyse them to provide marking, feedback, and progress-tracking features (see also our Privacy Policy and Section 6.3).

4.3 Progress dashboards & data sharing

Linked Parent, Tutor, Teacher or School accounts may access a student's learning-progress information according to their role and the permissions associated with the link. This may include scores, recent attempts, subject performance, study activity and exam-readiness indicators. Linking does not itself verify parental authority or establish an institution's lawful basis for processing student data. Paying for a subscription does not itself grant access to the student's learning information.

Where available, Parent Guide provides linked parents or guardians with AI-generated guidance based on learning summaries, as described in Section 2.3 of our Privacy Policy. It does not give them access to the student's private AI tutor chat history.

Either party may revoke a parent or teacher monitoring link. Students can manage these links through their family settings and can stop weekly progress emails independently of allowing access within the Platform. Adult students choose whether to authorise parent or teacher monitoring.

Revoking a link stops new access to learning records through that link. It does not recall emails already delivered or automatically erase previously generated reports or Parent Guide conversations. Rights concerning retained personal data are described in our Privacy Policy.

4.4 Availability

We aim to keep the Platform available but do not guarantee uninterrupted access. We may suspend the Platform for maintenance, updates, or reasons beyond our control.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose, or to cheat in an actual examination (e.g., attempting to access or distribute leaked/live exam papers);
  • Share your account credentials, or resell access to the Platform without our written consent;
  • Upload content that is unlawful, defamatory, obscene, or that infringes another person's rights;
  • Upload another student's answer script or personal data without appropriate authorisation (relevant particularly to Tutor/School accounts);
  • Scrape, copy, reverse-engineer, or redistribute Platform content or software, except as permitted under Section 6;
  • Interfere with the security or normal operation of the Platform;
  • Impersonate any person or misrepresent your affiliation with any person or entity.

We may suspend or terminate accounts that violate this section.

6. Intellectual Property

6.1 Our content

All practice exams, model answers, question banks, software, design, and branding on the Platform ("Platform Content") are owned by or licensed to MurphyLearn and protected by Sri Lankan and international intellectual property law.

6.2 Licence to you

We grant you a limited, non-exclusive, non-transferable licence to access and use Platform Content for personal, non-commercial study purposes (or, for Tutor/School accounts, for teaching your own students under your subscription). You may not republish, sell, or distribute Platform Content outside the Platform, including printed papers, except for personal/classroom use as intended by your plan.

6.3 Your content

Ownership and authority. You retain any intellectual-property rights you hold in content you upload or contribute. You may grant us rights only to the extent that you own them or are authorised to do so. These permissions do not replace or limit anyone's personal-data rights.

Private content. For private uploads, including answer scripts, you grant MurphyLearn a non-exclusive, royalty-free licence to store, process and display the content as needed to provide the requested features and sharing you authorise. Uploading private content does not authorise us to publish it or make it available to unrelated users. Educational-improvement uses and retention remain subject to applicable law and our Privacy Policy, including the AI provisions below.

Published contributions. When you deliberately publish educational material through the Platform, or expressly authorise us to publish it, you grant MurphyLearn a non-exclusive, worldwide, royalty-free licence to host, reproduce and make it available to the audience authorised by that publication, including through paid plans where applicable. This includes copies permitted for personal or classroom use under Section 6.2, and formatting, corrections, translations and accessibility adaptations needed to maintain and deliver the material. We may use service providers acting on our behalf for these purposes. We will respect attribution and other rights required by applicable law; this licence does not transfer your copyright to MurphyLearn.

After account closure and withdrawal requests. Closing your account does not itself withdraw published contributions or end the publication licence. We may continue making them available and maintaining them for learners under these Terms. You may request withdrawal, correction or removal by contacting learn@murphylearn.com. We will assess the request, taking account of your rights, third-party rights, privacy concerns and existing learner access, and explain the outcome. This does not limit any removal or erasure required by law. Copies already lawfully downloaded or printed cannot necessarily be recalled. Any retained personal data remains subject to our Privacy Policy.

To provide AI-assisted learning, marking, feedback, tutoring, voice processing, document retrieval and support features, relevant content and inputs may be sent to third-party AI and related service providers for processing on our behalf. We do not use uploaded content to train or fine-tune general-purpose AI models. We may use learning-performance data to evaluate and improve MurphyLearn's educational features and models, and we require providers to process submitted information under contractual terms that prohibit its use to train or improve their general-purpose models. This processing is described further in our Privacy Policy.

7. Third-Party Curricula & Trademarks

References to examinations such as GCE O/L, GCE A/L, Cambridge IGCSE, Edexcel IGCSE, SLAS, or bank recruitment exams are for descriptive purposes to identify the exams our content aligns with. MurphyLearn is not affiliated with, endorsed by, or acting on behalf of the Department of Examinations Sri Lanka, Cambridge Assessment International Education, Pearson Edexcel, the Public Service Commission, or any bank or institution named on the Platform, unless expressly stated.

8. Privacy & Data Protection

Our collection and use of personal data (including student progress data and data of minors) is described in our Privacy Policy, which forms part of these Terms.

We handle personal data in accordance with applicable Sri Lankan data protection law.

For minors, a parent or guardian may exercise data subject rights (such as access, correction, or deletion) on the student's behalf by contacting us at learn@murphylearn.com.

9. Disclaimers

9.1 No guarantee of results

MurphyLearn is a study aid. We do not guarantee any particular exam result, grade, university placement, or recruitment outcome from using the Platform.

9.2 "As is" basis

The Platform and Platform Content are provided "as is" and "as available," without warranties of any kind, to the extent permitted by law, including as to accuracy, completeness, or fitness for a particular purpose. Model answers and AI-generated feedback may contain errors; always cross-check against official syllabi and examiner reports.

Nothing in this section limits any service obligations or remedies required by applicable law, including those preserved in Section 3.5.

10. Limitation of Liability

To the maximum extent permitted by Sri Lankan law, MurphyLearn's total liability to you arising from these Terms or your use of the Platform is limited to the highest annual subscription fee for any MurphyLearn plan or service in effect when the event giving rise to the claim occurred. This limit applies whether you use a free or paid plan and regardless of who paid for your access. We are not liable for indirect, incidental, or consequential losses, except where such limitation is not permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Sri Lankan law, including liability for death, personal injury caused by negligence, or fraud.

Nothing in this section reduces your entitlement to refunds under Section 3.5.

11. Tutor & School Account Responsibilities

If you hold a Tutor or School account:

  • You are responsible for obtaining any consents needed from students/parents to add them to your managed account and share their progress data with you.
  • You must not use student data accessed through MurphyLearn for any purpose outside providing your tutoring/teaching services.
  • Volume/enterprise terms (minimum commitments, notice periods, invoicing) are as set out in your order form.
  • Controller/Processor roles: Where MurphyLearn processes student personal data on your behalf and under your documented instructions, you act as the data controller and MurphyLearn acts as a data processor. Where MurphyLearn independently determines the purposes of processing—for example, its own account administration, billing, security or educational-feature and model development—MurphyLearn acts as a controller and is responsible for the applicable data-protection obligations. Such processing must have an appropriate legal basis and be described in our Privacy Policy. You remain responsible for ensuring you have a lawful basis, including any necessary consents, for the student data you provide to or access through your Tutor or School account.

12. Suspension & Termination

  • By you: You may close your account at any time via account settings or by contacting us. Closing your account immediately ends sign-in and access to the Platform, including any remaining paid subscription time, and stops future subscription billing initiated by MurphyLearn for that account. If you only want to stop renewal while retaining access for the period already paid for, cancel automatic renewal under Section 3.4 instead. Before closing your account, use the available export features to save information you wish to keep. We remove identifying account information, queue private uploads for deletion and retain or manage certain learning records and published material as described in the Privacy Policy. Closure does not entitle you to a refund except as set out in Section 3.5, does not itself reverse payments already initiated, and does not limit your rights to dispute a charge or seek an applicable refund. Closing an individual account does not itself terminate a separately administered Tutor/School agreement, which remains subject to its own terms. Account closure is not a determination of any separate legal erasure request.
  • By us: We may suspend or terminate your account for breach of these Terms, non-payment, or where required by law. Restrictions will be proportionate to the circumstances. We may restrict access immediately where reasonably necessary to protect users or the Platform, investigate suspected misuse, or comply with law. Where lawful and safe, we will explain the reason and provide advance notice where reasonably practicable. You may request a review by contacting learn@murphylearn.com. We will consider the information you provide and communicate the outcome, subject to legal and security restrictions. We will explain the effect on your paid access and any applicable refund entitlement under Section 3.5. Nothing in this provision removes remedies required by applicable law.

13. Changes to the Platform or These Terms

13.1 Terms updates

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect, explaining the changes and their effective date. If an earlier change is necessary to comply with law or address an urgent security risk, we will give as much notice as reasonably possible and explain the reason.

Changes apply prospectively and do not remove rights or remedies that arose before their effective date. Continued use after that date constitutes acceptance to the extent permitted by applicable law; where express agreement is required, we will obtain it separately. If a change materially reduces your rights concerning a paid service during a period already paid for, the cancellation and refund protection in Section 13.3 applies. Price changes remain subject to Section 3.1.

13.2 Platform changes

We may add, change or remove features as the Platform develops. Routine improvements, interface changes and adjustments that do not materially reduce the paid service do not themselves create a refund entitlement. Material reductions to a paid service are subject to the notice arrangements in Section 13.1 and the protection in Section 13.3. Nothing in this section limits remedies required by applicable law.

13.3 Discontinuation or material reduction of paid services

If we discontinue your paid plan, we will refund the prepaid amount attributable to the unused subscription period.

If we remove a feature or otherwise change the service in a way that materially reduces what you purchased for the current paid period, we will offer you the choice of continuing with the changed service or cancelling the affected subscription and receiving a pro-rata refund for its unused prepaid period. The same choice applies to a material reduction in your rights under Section 13.1. The refund is calculated from the date the affected paid access ends.

These protections also apply where a change is necessary for legal or security reasons. Refund requests and processing are described in Section 3.5. Ordinary cancellation or change of mind remains subject to that section’s no-refund rule.

13.4 Full shutdown

If MurphyLearn ceases operating the Platform entirely, we will: (a) notify paying subscribers with at least 30 days' notice and provide pro-rata refunds for unused subscription periods; (b) notify Tutor/School plan clients with at least 60 days' notice; and (c) preserve platform data for at least 90 days after shutdown to allow you to export your data.

Questions about these Terms, complaints about billing, content, AI-generated marks or responses, data sharing, suspension or termination, and requests relating to a minor’s account may be sent to the contact details below. Please provide enough information to identify the account or incident and explain your concern, but do not send passwords or full payment-card details. We will review your complaint and communicate the outcome and reasons, subject to applicable privacy, legal and security restrictions.

15. Governing Law

These Terms are governed by the laws of Sri Lanka. Disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of Sri Lanka, except where mandatory law provides otherwise. Nothing in these Terms limits non-waivable consumer rights or prevents you from raising a complaint with a competent regulator or using another complaint or dispute-resolution route available under applicable law. You do not need to complete our internal complaints process before exercising those rights.
